1. GENERAL PROVISIONS
1.1. The non-commercial organization "Support
of people of Siberia" Charitable foundation (hereinafter
- "the Foundation") is established in accordance
with the Constitution of the Russian Federation, Civil code
of the Russian Federation, Federal law of the Russian Federation
"Of non-commercial organizations" № 7-FL dated January
12, 1996.
1.2. The official name of the Foundation is the Non-commercial
organization "Support of people of Siberia" Charitable
foundation".
1.3. The Founder of the Foundation is Politschuk Stanislav
Petrovitch, passport
series 32 01 № 234332, issued by Leninsky ROVD of city of
Kemerovo on December 25, 2001, address:
City of Kemerovo, Voroshilov street 16a, apartment 16.
1.4. The Foundation is a non-member non-commercial organization
founded by natural and legal persons on the basis of voluntary
property contributions and is pursues social, charitable,
cultural, educational and other goal of public utility. The
property provided to the Foundation by its Founders is the
property of the Foundation. The Founders do not bear responsibility
for the obligations of the Foundation established by them
and the Foundation does not bear responsibility for the obligations
of its Founders.
1.5. The Foundation is a legal person and its business purpose
is not profit earning for its distribution among the Founders
and the staff of the Foundation as an income. In case of acquisition
of income as a result of the Foundation's activity this income
should be channeled for implementation of the statutory goals.
1.6. The Foundation uses the property for the purposes defined
in the Statute. The Foundation has the right to carry on business
activity required for implementation of the goals of public
utility for which the Foundation was established and create
economic associations as well as take part in them.
1.7. The Foundation is obliged to publish annual reports on
the use of its property.
1.8. The Foundation acquires the rights of a legal person
from the moment of the state registration of its Statute.
The Foundation has its own balance, round seal with its name,
angle stamp, dollar account and other accounts, acts on the
principles of full economic independence, strict adherence
to the existing legislation and the obligations against the
Founders.
1.9. The Foundation determines on its own directions of its
activity, the strategy of economical, technical and social
development.
1.10. The Foundation has the right to acquire rights of property
as well as personal non-property rights and bear responsibilities,
act as a plaintiff and defendants in court, the arbitrage
and court of referees.
1.11. The Foundation possesses, uses and manages its property
as an owner in accordance with the Statute.
1.12. The Foundation may establish its representations in
the Russian federation and abroad. The representations act
on the behalf of the Foundation in accordance with the Provisions
approved by the Foundation's Council.
1.13. The Foundation is responsible for its obligations by
the property on which in accordance with the law a penalty
can be imposed.
1.14. The Foundation is not responsible for the obligations
of the state and the Foundation's Founders. The State and
its institutions are not responsible for the obligations of
the Foundation.
1.15. Location of the Foundation is as follows: City of Moscow,
Sadovaya - Kudrinskaya street 9, office 718.
The executive body of the Foundation - the President - is
located at this address.

2. GOALS AND OBJECTIVES OF THE FOUNDATION
2.1. The main goal of the Foundation is rendering
material and other help to infants without
parents' charge as well as pensioners, refugees, internally
displaced persons and other groups of socially unprotected
people irrespective of their nationality, citizenship and
religion.
2.2. The main kinds of activity of the Foundation are:
- charity;
- rendering help to pensioners by means of medicines and food;
- rendering material help to infants, refugees, homeless persons
and the have-nots;
- carrying out trade intermediary and other commercial operations
with a view of use of revenues earned for charitable goals
and solution of other tasks in accordance with the Statute;
- provision of workplaces to refugees, internally displaced
persons and other groups of socially unprotected capable persons;
- payment of cash security to persons having revenues lower
than the living wage and other destitute people;
- establishment of economic associations as well as participation
in the activity of economic associations.
The Foundation carries out other kinds of activity which correspond
to the goals and objectives of the Foundation and not prohibited
by the existing legislation of RF.
3. FOUNDERS AND PARTICIPANTS OF THE FOUNDATION
3.1 Citizens and organizations may take part
in the activity of the Foundation either by means of payment
of voluntary donations, provision the property in free use
or by means of rendering organizational and other assistance
to the Foundation when carrying out its statutory activity.
3.2. Persons rendering assistance to the Foundation (including
those persons who have established the Foundation) have the
following rights:
- to participate in all kinds of its activity;
- to get financial, consultative, expert, intermediary, scientific
and technical and other assistance which corresponds to the
goals and objectives of the Foundation on the terms determined
by the General meeting of the Foundation as well as treaties;
- to establish and develop bilateral and multilateral ties
through the Foundation;
- to use protection of their interests from the direction
of the Foundation within the framework of its rights, legal
and economic capabilities;
- to cease at any time their participation in the activity
of the Foundation. The Foundation keep records of persons
who promotes its activity in a separate register.
3.3. Persons rendering assistance to the Foundation are obliged
to do the following:
- to act strictly in accordance with the requirements of the
Statute when carrying out programs and measures of the Foundation;
- not to disclose confidential information about the activity
of the Foundation;
- to refrain from the actions which could damage the activity
of the Foundation.
4. MANAGEMENT OF THE FOUNDATION
4.1. The supreme governing body of the Foundation
is the General participants' meeting of the Foundation. The
General meeting is convened not less than once in six months.
The General meeting is competent when there is more than a
half of the participants of the Foundation present.
4.2. An extraordinary General meeting may be convened according
to the decision of:
- the President of the Foundation;
- the Board of Trustees;
- the Audit commission (Auditor);
- 1/3 of the participants of the Foundation.
4.3. The General meeting is empowered to take decisions on
all matters concerning the activity of the Foundation.
The following things belong to the exclusive competence of
the General meeting:
- approval of the Statute, introduction of amendments and
changes to the Statute of the Foundation with their subsequent
state registration in accordance with the existing legal procedure;
- election of the President of the Foundation and the Audit
commission (Auditor) and reschedule termination of their authorities;
- approval of charitable programs;
- approval of the annual plan, budget of the Foundation and
its annual report;
- forming of the Board of Trustees of the Foundation;
- making decisions on establishment of commercial and non-commercial
organizations, participation in such organizations, opening
of branch offices and representations;
- decision of issues on reorganization of the Foundation;
- monitoring and organization of the activity of the Foundation,
control over implementation of the decisions taken by the
General meeting;
- consideration and approval of the calculation of costs of
the Foundation;
Decisions on all matters shall be taken by the General meeting
through a simple majority of the voters present at the General
meeting. Decisions on reorganization of the Foundation, introduction
of amendments and changes to the Statute of the Foundation
shall be taken through a qualified majority of not less than
2/3 of the total number of the present persons.
4.4. The individual executive body of the Foundation is the
President.
4.5. The President shall be elected by the General meeting
for the period of 3 years.
4.6. The President of the Foundation:
- is accountable against the General meeting of the Foundation,
is empowered to solve all matters concerning the activity
of the Foundation which belong to the exclusive competence
of the General meeting of the Foundation;
- convenes the general meeting of the Foundation;
- prepares question to be discussed at the General meeting;
- acts on the behalf of the Foundation without power of attorney,
represents the interests of the Foundation in all structures,
organizations and enterprises on the territory of the Russian
Federation as well as abroad;
- represents the interests of the Foundation in governmental
authorities, in all governmental institutions and public funds;
- disposes of the assets of the Foundation within the limits
of the estimate of costs approved;
- solves strategic issues of economic and financial activity
of the Foundation;
- concludes treaties and commits other legal acts on the behalf
of the Foundation, acquires and manages the property, opens
and make up accounts at banks, signs treaties, obligations
on the behalf of the Foundation;
- solves matters of economic and financial activity of the
Foundation;
- bears responsibility for annual publication of the reports
of the Foundation in the press;
- organizes work aimed at carrying out business activity of
the Foundation;
- bears within the limits of his competence personal responsibility
for use of assets and the property of the Foundation in accordance
with its statutory goals and objectives;
- monitors the activity of branch offices and representations
of the Foundation;
- organizes business accounting and book-keeping;
- prepares proposals on charitable programs of the Foundation.
5. AUDIT COMMISSION (AUDITOR)
5.1. Control over the financial and economic
activity of the Foundation shall be carried out by the Audit
commission (Auditor) which is to be elected by the General
meeting of the Foundation for the period of two years.
5.2. The Audit commission (Auditor) carries out annual inspections
of the financial and economic activity of the Foundation not
less than once a year.
5.3. The Audit commission (Auditor) has the right to request
from the executive officers of the Foundation all the necessary
documentation and personal explanations.
5.4. The Audit commission (Auditor) submits the results of
the inspection to the General meeting of the Foundation.
6. BRANCH OFFICES AND REPRESENTATIONS
6.1. The Foundation has the right to open
branch offices and representations on the territory of the
Russian Federation in accordance with the requirements of
the legislation of RF.
6.2. Opening of branch offices and representations of the
Foundation on the territory of foreign countries is carried
out in accordance with the legislation of those countries
if otherwise is not envisaged by the international treaties
of RF.
6.3. Branch offices and representations are not legal persons,
are endowed with the property of the Foundation and act on
the basis of the Provision approved by the General meeting.
The property of branch offices and representations is to be
accounted on a separate balance-sheet and the balance-sheet
of the Foundation.
6.4. Heads of branch offices and representations are appointed
by the General meeting of the Foundation.
7. PROPERTY, SOURCES OF ITS FORMATION AND
FINANCIAL AND ECONOMIC ACTIVITY OF THE FOUNDATION
7.1. The Foundation may have as its property
in accordance with the existing legislation of RF the following:
ground areas, buildings, constructions, installations, available
housing, transport, equipment, inventory, property of cultural,
educational and sanitary utilization, cash assets, shares,
other securities and other property needed for material security
of the statutory activity of the Foundation.
7.2. The property of the foundation is formed on the basis
of voluntary and property contributions, incomes from lections,
exhibitions, lotteries, auctions, sports and other actions;
incomes from business activity of the Foundation, civil deals;
foreign-economic activity of the foundation; other incomes
not prohibited by the law.
7.3. The Foundation may establish economic organizations and
other non-commercial organizations with the status of a legal
person as well as acquire property designed for carrying out
of the business activity.
7.4. Incomes from the business activity of the Foundation
may not be distributed among the participants of the Foundation
and should be used only to achieve the statutory goals of
the Foundation.
7.5. The Foundation may carry out nay deals related to its
property and other real property which do not contradict the
legislation of RF, this Statute and correspond to the statutory
goals of the Foundation.
7.6. The Foundation conducts book-keeping and statistic accountability
in accordance with the procedure established by the legislation
of RF.
7.7. At the location of its executive body - City of Moscow,
Sadovaya - Kudrinskaya street 9, office 718 - the Foundation
stores the following documentation:
- certificate of the state registration of the Foundation;
- the Statute with changes registered in accordance with the
procedure established by the law;
- minutes of the General participants' meeting of the Foundation;
- orders;
- treaties;
- account books as well as other documents the storage of
which is envisaged by the legislation.
8. TERMINATION OF THE ACTIVITY OF THE FOUNDATION
8.1. The activity of the Foundation may be
terminated through reorganization or liquidation. The Foundation
may be winded up only by a court decision. Liquidation and
reorganization of the Foundation is carried out in accordance
with the procedure established by the existing legislation
of the Russian Federation.
8.2. Reorganization of the Foundation may be carried out by
the decision of the General meeting of the Foundation if not
less than 2/3 of the voters present have voted for it.
8.3. The property and the assets of the Foundation are directed
when liquidating after settlement of claims of the creditors
to the statutory goals of the Foundation and are not subject
to distribution among the participants of the Foundation.
8.4. Documents of the Foundation on staff are to be handed
over after liquidation of the Foundation for storage at the
record office in accordance with the procedure established
by the law.
8.5. Decision on the liquidation of the Foundation is to be
conveyed to the body which has registered the Foundation to
exclude it from the common public register of legal persons.
8.6. Liquidation of the Foundation is to be considered completed
and the Foundation having ceased its existence after entry
of the record on it in the common register of legal persons.
9. PROCEDURE OF INTRODUCTION OF AMENDMENTS AND CHANGES TO
THE STATUTE
9.1. Amendments and changes to the Statute
shall be approved by the General meeting through 2/3 of voters
present and are subject to the state registration.
9.2. The state registration of amendments and changes to the
Statute of the Foundation shall be conducted in accordance
with the procedure established by the existing legislation
of the Russian Federation.
9.3. Amendments and changes to the Statute shall enter into
force from the moment of their state registration.
